1. Acceptance of Terms

By accessing or using the website and services of Catalyst Studios, a division of Alta Ventures LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services. These Terms apply to all visitors, users, and clients of our AI consulting and implementation services.

2. Description of Services

Catalyst Studios provides AI consulting, workflow automation, and business process optimization services. Our offerings include but are not limited to: AI strategy consulting, custom AI solution development, workflow automation implementation, AI-enhanced business process design, and ongoing support and maintenance services. Specific services, deliverables, timelines, and fees will be outlined in separate service agreements or statements of work.

3. Client Responsibilities

As a client of Catalyst Studios, you agree to:

• Provide accurate and complete information necessary for the delivery of services
• Respond to requests for information, feedback, or approvals in a timely manner
• Ensure appropriate access to systems, data, and personnel as required for project execution
• Comply with all applicable laws and regulations in the use of our services
• Maintain confidentiality of any proprietary methodologies or tools shared during engagements

4. Intellectual Property

Client Materials

You retain all ownership rights to your data, content, and materials provided to us during the course of our engagement. You grant us a limited license to use such materials solely for the purpose of delivering the agreed-upon services.

Deliverables

Unless otherwise specified in a written agreement, upon full payment, you will own the custom deliverables created specifically for your project. However, we retain ownership of our pre-existing tools, methodologies, frameworks, and general knowledge developed prior to or independent of your engagement.

Company Materials

All content on our website, including text, graphics, logos, and software, is the property of Catalyst Studios and is protected by copyright and intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This includes business processes, technical specifications, financial information, and strategic plans. Confidentiality obligations shall survive the termination of any service agreement for a period of three (3) years unless otherwise specified.

6. Payment Terms

Payment terms, fees, and schedules will be specified in individual service agreements or statements of work. Unless otherwise agreed, invoices are due within thirty (30) days of receipt. Late payments may be subject to interest charges and may result in suspension of services. All fees are non-refundable unless otherwise stated in the applicable service agreement.

7. Warranties and Disclaimers

We will perform our services with reasonable skill and care consistent with industry standards. However:

• Our services are provided "as is" without warranties of any kind, express or implied
• We do not guarantee specific business outcomes, revenue increases, or cost savings
• AI technologies are evolving, and we cannot guarantee uninterrupted or error-free operation of AI systems
• Results may vary based on factors outside our control, including data quality, user adoption, and market conditions

8. Limitation of Liability

To the maximum extent permitted by law, Catalyst Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to these Terms or our services. Our total liability for any claim shall not exceed the fees paid by you for the specific services giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless Catalyst Studios, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

10. Term and Termination

These Terms remain in effect until terminated. Either party may terminate a service engagement as specified in the applicable service agreement. We reserve the right to suspend or terminate access to our website or services at any time for violation of these Terms or for any other reason at our discretion. Upon termination, provisions relating to intellectual property, confidentiality, limitation of liability, and indemnification shall survive.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Contra Costa County, California, in accordance with the rules of the American Arbitration Association.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated "Last updated" date. Your continued use of our website or services after such modifications constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with any applicable service agreements or statements of work, constitute the entire agreement between you and Catalyst Studios regarding the subject matter herein and supersede all prior communications, representations, or agreements.
